Affiliate Program Operating Agreement

This Affiliate Program Operating Agreement ("Operating Agreement") contains the terms and conditions governing your participation in the Affiliate Program ("Program"). "We", "us" or "our" means VNY.com and the Affiliate Site. "You" or "your" means the applicant. "Site" means a website. "Affiliate Site" means the e-commerce/retail website that uses the VNY affiliate tracking software. "Your Site" means any website, software application or mobile application that you link to the Affiliate Site. "Advertising Fees" means commissions earned for a successful and verified sale of a product on the Affiliate Site by a customer using your referral link.
BY CHECKING THE BOX INDICATING THAT YOU AGREE TO THE TERMS AND CONDITIONS OF THIS OPERATING AGREEMENT, OR BY CONTINUING TO PARTICIPATE IN THE PROGRAM AFTER NOTICE OF CHANGES IS POSTED, YOU AGREE TO BE BOUND BY THIS AGREEMENT.
1. Program Description
The purpose of the Program is to allow you to advertise Products on your website and earn advertising fees or commissions for Qualifying Purchases made by your users.
2. Registration
To begin the registration process, you must submit a complete and accurate Program application. You must list your website in the application. We reserve the right to reject any application at our sole discretion.
3. Links to Your Website
Once your membership is approved, you may display Special Links on your website for proper tracking and performance of your advertising fees.
4. Program Requirements
By participating in the Program, you agree to comply with the requirements and policies described in the Business Documentation.
5. Responsibility for Your Website
You are solely responsible for the development, operation and maintenance of your website and all content displayed on it.
6. Order Processing
Product orders placed through your Special Links will be fulfilled by the Affiliated Website.
7. Advertising Fees
Commission payments are made on a monthly basis, in accordance with the payment schedule and conditions set forth in the Agreement.
8. Payment of Advertising Fees
Payments are made approximately 60 days after the end of each month, subject to applicable deductions or discounts.
9. Policies and Pricing
Customers who purchase products through the Program are considered customers of the Affiliated Site and are subject to its policies.
10. Affiliate Recognition
You may not issue a press release or public announcement related to your participation in the Program without approval.
11. Limited License
We grant you a limited, non-transferable license to use the advertising assets we provide to you.
12. Compliance with Laws
You agree to comply with all applicable laws of the country in which we operate, which is Greece.
13. Term and Expiration
The Agreement may be terminated by either party at any time, with or without cause.
14. Amendments
We reserve the right to amend any term of this Agreement at any time.
15. Relationship of the Parties
You are an independent contractor and there is no partnership or employment relationship between us.
16. Limitation of Liability
We are not liable for indirect or consequential damages arising from your participation in the Program.
17. Governing Law and Disputes
This Agreement is governed by the laws of the Hellenic Republic, with the competent courts of Greece and more specifically in Heraklion, Crete.
18. Miscellaneous
We reserve the right to provide information to government authorities if legally required.
Mobile Application Policy
Mobile applications must meet certain requirements to participate in the Program.
